These Terms of Service govern access to and use of the ReguShield AI platform, operated by ReguShield UAB (the Republic of Lithuania). By accessing the platform the Customer agrees to these terms.
1. Parties
This agreement is entered into between ReguShield UAB, a private limited liability company (uždaroji akcinė bendrovė) incorporated in the Republic of Lithuania and operator of the ReguShield AI platform ("Provider"), and the Customer, trading as the Customer, established in the Customer's jurisdiction (company registration as recorded at registration) ("Customer"), acting through the Customer's authorised representative, authorised signatory (the registered contact email). Provider and Customer are each a "party".
2. The Service
ReguShield AI is a compliance-intelligence platform that maps a Customer's operational and transaction data to European regulatory obligations (including AMLA 2027, AMLR, MiCA, DORA, the Travel Rule and the EU AI Act) and produces audit-ready analysis, risk scoring and recommended actions. The platform is decision-support: it informs, but does not replace, the judgement of the Customer's qualified compliance personnel.
3. Customer Responsibilities
The Customer warrants that it has a lawful basis to upload the data it submits, that submitted data is accurate, and that only authorised users access its workspace. The Customer is responsible for the configuration of its workspace, for maintaining meaningful human oversight of platform outputs, and for all regulatory filings, which remain the Customer's sole responsibility.
4. Intellectual Property
Provider retains all rights in the platform, its models, rule logic and generated formats. The Customer retains all rights in the data it uploads ("Customer Data") and grants Provider a limited, non-exclusive licence to process Customer Data solely to provide the service and as instructed under the Data Processing Agreement.
5. Decision-Support Disclaimer
Platform outputs — including risk scores, narratives, regulatory mappings and recommended actions — are decision-support inputs only. They are not legal advice, not a regulatory determination, and must be reviewed by a qualified person before any regulated decision (such as filing a suspicious transaction report or completing customer due diligence) is taken.
6. Availability
Provider uses commercially reasonable efforts to keep the platform available and operates on managed EU cloud infrastructure. A formal, measured service-level commitment, where offered, is set out in the Enterprise Agreement and applicable Order Form (Planned for enterprise plans); absent such a commitment the platform is provided on an "as available" basis.
7. Liability
To the maximum extent permitted by applicable law, Provider is not liable for indirect or consequential loss, for regulatory outcomes, or for decisions taken by the Customer on the basis of platform outputs. Nothing in these terms excludes liability that cannot lawfully be excluded.
8. Term & Termination
These terms apply for as long as the Customer uses the platform. Either party may terminate for material breach not remedied within a reasonable period. On termination the Customer may export its data, after which Customer Data is deleted in accordance with the Privacy Policy and Data Processing Agreement, save for records Provider must retain by law (including the immutable acceptance audit).
Governing Law & Jurisdiction
This agreement is governed by the laws of the Republic of Lithuania and the directly applicable law of the European Union, without prejudice to mandatory consumer or data-protection rights available to the Customer in the Customer's jurisdiction. The courts of the Republic of Lithuania have jurisdiction, subject to any mandatory rule conferring jurisdiction elsewhere.
