This AI Usage Policy governs the Customer's use of the AI-assisted features of the ReguShield AI platform, operated by ReguShield UAB (the Republic of Lithuania).
1. Parties
This agreement is entered into between ReguShield UAB, a private limited liability company (uždaroji akcinė bendrovė) incorporated in the Republic of Lithuania and operator of the ReguShield AI platform ("Provider"), and the Customer, trading as the Customer, established in the Customer's jurisdiction (company registration as recorded at registration) ("Customer"), acting through the Customer's authorised representative, authorised signatory (the registered contact email). Provider and Customer are each a "party".
2. Decision-Support Nature
ReguShield AI combines deterministic regulatory rule logic with AI-assisted reasoning to generate analysis, narratives and recommendations. Every AI-assisted output is a decision-support input that must be reviewed by a qualified person before action.
3. Human Oversight
Consistent with Article 14 of the EU AI Act, the Customer must maintain meaningful human oversight of outputs and retain the ability to disregard, override or correct any recommendation. The platform does not make autonomous decisions that produce legal effects for data subjects.
4. Prohibited Reliance
AI output must not be the sole basis for a regulated decision — including filing or declining a suspicious transaction report, completing or rejecting customer due diligence, or a sanctions determination. Such decisions remain the responsibility of the Customer's authorised personnel.
Governing Law & Jurisdiction
This agreement is governed by the laws of the Republic of Lithuania and the directly applicable law of the European Union, without prejudice to mandatory consumer or data-protection rights available to the Customer in the Customer's jurisdiction. The courts of the Republic of Lithuania have jurisdiction, subject to any mandatory rule conferring jurisdiction elsewhere.
