AI Governance Policy

Issued by ReguShield UAB, a private limited liability company (uždaroji akcinė bendrovė) incorporated in the Republic of Lithuania (EU), operator of the ReguShield AI platform. Maturity, where stated, is labelled Implemented (live today), Planned (in progress) or Roadmap (intended, not yet in place). This document is compliance decision-support documentation, not legal advice.

This AI Governance Policy describes how ReguShield UAB governs the AI systems within the ReguShield AI platform, aligned with the principles of the EU AI Act.

1. Risk Posture & Classification

ReguShield AI is designed as a decision-support tool: a qualified human remains the decision-maker for every regulated outcome, and the system does not perform autonomous decisioning with legal effect. (Planned) A formal EU AI Act classification and, where applicable, a Fundamental Rights Impact Assessment are being prepared as the Act's obligations phase in.

2. Explainability

(Implemented) Outputs are explainable: regulatory mappings cite the relevant framework, reasoning is grounded in deterministic rule logic, and confidence indicators accompany scores so reviewers can judge weight and challenge results.

3. Human Oversight

(Implemented) Human-in-the-loop controls are built into the product: recommendations are presented for review, and the Customer can override or reject any output. No regulated action is taken automatically by the platform.

4. Monitoring & Review

(Planned) Periodic bias and quality review of AI-assisted features, and a documented governance review cadence, are being established. (Roadmap) Independent assurance of the AI governance programme is a future objective and is not yet in place.

5. Data Use for AI

AI reasoning is provided via a sub-processor (OpenAI) under contractual terms; Customer Data is processed to generate the Customer's own analysis and is not used by Provider to train its own foundation models.

Governing Law & Jurisdiction

This agreement is governed by the laws of the Republic of Lithuania and the directly applicable law of the European Union, without prejudice to mandatory consumer or data-protection rights available to the Customer in the Customer's jurisdiction. The courts of the Republic of Lithuania have jurisdiction, subject to any mandatory rule conferring jurisdiction elsewhere.
