This Pilot Agreement governs a time-boxed evaluation of the ReguShield AI platform by the Customer, operated by ReguShield UAB (the Republic of Lithuania).
1. Parties
This agreement is entered into between ReguShield UAB, a private limited liability company (uždaroji akcinė bendrovė) incorporated in the Republic of Lithuania and operator of the ReguShield AI platform ("Provider"), and the Customer, trading as the Customer, established in the Customer's jurisdiction (company registration as recorded at registration) ("Customer"), acting through the Customer's authorised representative, authorised signatory (the registered contact email). Provider and Customer are each a "party".
2. Pilot Scope & Duration
The pilot is a limited evaluation of the platform for the period agreed at onboarding (typically time-boxed) and for the success criteria the parties identify. It is provided to assess fit, not as a production compliance system of record.
3. Pilot Data
Data uploaded during the pilot is processed under the Data Processing Agreement and is retained for the pilot-data period (90 days by default) before deletion, unless the pilot converts to a paid plan or the Customer requests earlier deletion. Customers should avoid uploading data they do not have a lawful basis to process for evaluation.
4. No Commitment
The pilot is provided without obligation on either party to enter a paid subscription and without any service-level commitment. Platform output during the pilot remains decision-support only.
Governing Law & Jurisdiction
This agreement is governed by the laws of the Republic of Lithuania and the directly applicable law of the European Union, without prejudice to mandatory consumer or data-protection rights available to the Customer in the Customer's jurisdiction. The courts of the Republic of Lithuania have jurisdiction, subject to any mandatory rule conferring jurisdiction elsewhere.
