This Enterprise Agreement sets out the master subscription terms between the Customer and ReguShield UAB (the Republic of Lithuania) for production use of the ReguShield AI platform.
1. Parties
This agreement is entered into between ReguShield UAB, a private limited liability company (uždaroji akcinė bendrovė) incorporated in the Republic of Lithuania and operator of the ReguShield AI platform ("Provider"), and the Customer, trading as the Customer, established in the Customer's jurisdiction (company registration as recorded at registration) ("Customer"), acting through the Customer's authorised representative, authorised signatory (the registered contact email). Provider and Customer are each a "party".
2. Subscription & Scope
Provider grants the Customer a non-exclusive, non-transferable right to use the modules, workspaces and seats set out in the applicable Order Form. Workspaces are isolated per organisation; member access is governed by role-based permissions.
3. Service Levels & Support
Where an Order Form specifies availability targets, support response times or escalation paths, those apply (Planned as a standard enterprise offering). Absent such terms, the platform is provided on a commercially-reasonable-efforts basis with support via hello@regushield.ai.
4. Fees & Payment
Fees, billing frequency and any trial terms are those stated in the Order Form. This agreement does not itself activate billing; commercial activation is handled separately.
5. Confidentiality
Each party protects the other's confidential information with reasonable care and uses it only to perform this agreement. Customer Data is the Customer's confidential information.
6. Data Protection & Security
The Data Processing Agreement and Security Statement form part of this agreement and govern the processing and protection of personal data.
7. Term, Renewal & Exit
The initial term and renewal are as stated in the Order Form. On exit the Customer may export its data in a structured format before deletion under the retention schedule.
Governing Law & Jurisdiction
This agreement is governed by the laws of the Republic of Lithuania and the directly applicable law of the European Union, without prejudice to mandatory consumer or data-protection rights available to the Customer in the Customer's jurisdiction. The courts of the Republic of Lithuania have jurisdiction, subject to any mandatory rule conferring jurisdiction elsewhere.
